Part A: Terms for everyone

A1. About Racemate and these terms

Racemate (racemate.in, its apps and its embedded booking pages) is run by Racemate India Private Limited (“Racemate”, “we”, “us”), a company registered in India with its registered office at RZ-140 Kailash Puri, New Delhi, Delhi 110045, India (GSTIN 07AAJCR0929H1ZA).

Racemate is an online marketplace for running and other sports events. Event organizers (“Organizers”) list their events and sell registrations on Racemate; runners and other buyers (“Participants”) find events and register for them. Unless an event page says Racemate is the organizer, the Organizer, not Racemate, runs the event and is the seller of its registrations. Racemate provides the platform, takes the payment on the Organizer’s behalf and passes it on.

These terms are an agreement between you and Racemate. Part A applies to everyone who uses Racemate. Part B also applies when you register for an event, and Part C also applies when you list or manage an event. Our Privacy Policy, the Pricing page, and the terms, rules and waiver shown for an event form part of this agreement. Where an event’s own terms are stricter on something specific to that event (for example its refund rules), they apply to that event.

By creating an account, signing in, registering for an event or listing one, you accept these terms. If you do not accept them, please do not use Racemate. These terms are an electronic record under the Information Technology Act, 2000 and need no physical or digital signature.

A2. Eligibility and your account

  • If you are under 18, you may use Racemate only with the consent of your parent or legal guardian, who accepts these terms on your behalf and is responsible for your use of Racemate. A parent or guardian may also register a child for an event (see Registering for an event).
  • You sign in with a one-time code sent to your email address or mobile number. Keep both current and in your control: we treat a message sent to them as received by you.
  • One person, one account. If you hold more than one, we may ask you to verify and combine them, and we may decline to create a duplicate.
  • The information you give us must be true, complete and kept up to date. You are responsible for everything done through your account, and for anyone you give access to it, such as members of an Organizer’s team.
  • Tell us at help@racemate.in straight away if you think someone else has used your account.

A3. Messages we send you

We send service messages about your account and bookings by email and SMS (and WhatsApp where we offer it): sign-in codes, booking confirmations, receipts, refund updates, and event updates an Organizer asks us to pass on. These are part of the service and continue while you hold a booking.

If you opt in, we also tell you about upcoming events you may like, including Organizers’ events we promote. Opting in is never a condition of registering, and you can opt out at any time from the link in the message, our opt-out page, or by writing to help@racemate.in (see our Privacy Policy). An Organizer may also contact you about an event you registered for, under their own privacy practices.

A4. Using Racemate fairly

You agree not to use Racemate to, or to upload anything that would:

  • break any law, or infringe anyone’s copyright, trademark, privacy or other rights;
  • be false or misleading, impersonate anyone, or misstate your link with any person, event or organization;
  • be defamatory, obscene, hateful, harassing, threatening, or discriminatory on grounds such as religion, caste, gender, disability or origin;
  • promote betting, gambling, lotteries or prize schemes not allowed by law;
  • carry malware, or probe, overload, scrape or bypass the security of Racemate or its users’ accounts;
  • resell registrations for profit, or buy them with automated tools; or
  • collect other users’ personal data, or contact them for anything other than the event concerned.

We may remove content, cancel bookings made in breach of this section, and suspend accounts that break it.

A5. Content and intellectual property

Racemate’s software, design, name, logo and the content we create belong to us or our licensors. We give you a limited, personal, non-transferable right to use Racemate for its intended purpose: finding, registering for, listing and managing events. You may not copy, modify, reverse engineer or resell any part of it except as the law allows.

You keep ownership of what you upload (event descriptions, banners, logos, photos, results, reviews). You give Racemate a non-exclusive, worldwide, royalty-free licence to host, copy, adapt for display, publish and share it to run, promote and improve Racemate and the event, for as long as it stays on Racemate and for a reasonable time after for material already published. You confirm you have the rights to grant this.

A6. Photos, videos and results

Organizers, their photographers and Racemate may photograph and film events. Results and timing data (your name, bib number, category and times) may be published on Racemate, the Organizer’s channels and results services, as is usual for timed events. By taking part you agree to this and to these images and records being used to report on and promote the event and Racemate, without payment.

You can ask us at help@racemate.in to remove a photo of you from Racemate, or to show you as anonymous in published results, and we will do so where the law and the integrity of the results allow.

A7. Payments

  • Prices are in Indian rupees. Payments are processed by licensed payment aggregators. We do not see or store your full card or UPI details.
  • If money leaves your account but no booking is confirmed, the payment is normally reversed automatically within 5 to 7 working days. If it is not, write to help@racemate.in with the payment reference.
  • Refunds go back to the method you paid with. Once we process one, your bank usually takes 5 to 7 working days to show it.
  • Please contact us before raising a chargeback with your bank: most problems are fixed faster that way.

A8. Third-party services and embedded booking

Racemate links to and works with services we do not control, such as payment gateways, maps, video and social networks; their own terms apply to your use of them. Organizers can place Racemate’s booking form on their own websites. A booking made there is a Racemate booking and these terms apply to it, but the rest of the Organizer’s website is the Organizer’s responsibility.

A9. Disclaimers

We work to keep Racemate available, accurate and secure, but we provide it “as is” and “as available”, and, as far as the law allows, without warranties of any kind, including fitness for a particular purpose. We do not guarantee that Racemate will be uninterrupted or error-free.

We check Organizers’ identity and payout details before they can sell paid registrations, but we do not inspect events. The Organizer is responsible for the event, its route, safety, medical cover, permits and everything advertised for it, and for the accuracy of its listing.

A10. Limits on our liability

As far as the law allows, Racemate is not liable for:

  • indirect or consequential loss, such as loss of profit, goodwill, data or opportunity, or travel and accommodation costs;
  • injury, illness, death, or loss of or damage to property connected with an event, or the acts or omissions of an Organizer, a Participant or any other third party; or
  • an event being cancelled, postponed or changed, beyond the refunds described in these terms.

Otherwise, our total liability for any claim is limited to the platform fee (excluding taxes) that Racemate received for the booking, or for an Organizer the event, that the claim concerns. Nothing in these terms limits liability for fraud, for wilful misconduct, or where Indian law does not allow it to be limited, and nothing affects your rights under the Consumer Protection Act, 2019.

A11. Your responsibility to us

You agree to compensate Racemate, its directors, employees and service providers for any claim, loss, penalty or reasonable legal cost that arises from your breach of these terms or of the law, or from content you provided.

A12. Suspension, closing your account, and changes

  • We may suspend or close an account, delist an event or hold a payout where we reasonably suspect fraud, a breach of these terms, a risk to participants, or where the law or a payment partner requires it. Where we can, we will tell you why.
  • You can ask us at help@racemate.in to close your account. We keep booking, invoice and tax records for as long as the law requires.
  • We may change Racemate and these terms. We will post the new terms here with a new date, and give notice of significant changes by email or on Racemate. A booking keeps the refund rules shown when it was made.
  • Neither side is responsible for failing to perform because of events beyond its reasonable control, such as natural disasters, epidemics, government orders, war, riots or failures of networks or banks.

A13. Governing law and disputes

These terms are governed by the laws of India. If something goes wrong, please write to us first (see Grievances and contact): most issues are resolved there. Subject to that, the courts at New Delhi have exclusive jurisdiction over disputes arising from these terms or your use of Racemate. This does not limit your right to approach a consumer commission under the Consumer Protection Act, 2019.

A14. Grievances and contact

For help with a booking or event, write to help@racemate.in or see Contact us. For a complaint, including about content on Racemate, write to our Grievance Officer. We acknowledge complaints within 48 hours and aim to resolve them within one month, as the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 require.

If any part of these terms is found unenforceable, the rest still applies. Our not enforcing a right is not a waiver of it. These terms, with the documents named in About Racemate, are the whole agreement between you and Racemate about their subject.

Part B: Terms for participants

B1. Registering for an event

  • Before you pay, read the event page: the race category and its eligibility (such as minimum age and cut-off times), the event’s terms, its waiver, and the cancellation rules for your ticket. Choose your category carefully: changing it later is up to the Organizer.
  • The details you give (for example name, date of birth, gender, contact details, emergency contact, T-shirt size, ID details, or medical information an Organizer asks for) are shared with the Organizer and the people they work with, such as timers, to run the event. They must be accurate: an Organizer may refuse entry or a bib on mismatched details.
  • If you register someone else, you confirm that you have their permission, that their details are correct, and that they accept these terms and the event’s waiver. A parent or legal guardian registering a minor accepts them on the minor’s behalf and confirms the minor may take part.
  • Your registration is a contract with the Organizer for a place in the event, made through Racemate.

B2. Prices, fees, coupons and donations

  • The Organizer sets the ticket price. Racemate charges a platform fee on paid tickets, which covers our service and payment processing, plus GST on that fee. Depending on the event, it is added at checkout or already included in the price. You see the full amount, with taxes, before you pay. Free tickets carry no fee.
  • Coupons and group discounts are offered by Organizers on their own conditions and have no cash value. A refund is worked out on the discounted price; if cancelling leaves your booking short of a discount’s conditions (such as its minimum order value), that discount is deducted from the refund.
  • Donations collected at checkout go to the Organizer or the cause the event names, and are not refunded unless the event is called off (see If an event is cancelled). For a donation receipt, write to help@racemate.in.
  • We issue tax invoices for our platform fee; the Organizer is the seller of your registration and its tax invoice is issued in their name.

B3. Booking confirmation and tickets

Your registration is confirmed when payment succeeds and you are shown a booking reference. Your tickets are then in My Bookings and we email them to you. Not receiving the email does not cancel a confirmed booking; check My Bookings or write to us. Organizers may check your ticket and ID when you collect your bib.

B4. Cancelling your registration and refunds

  • Each ticket type has its own cancellation rules, set by the Organizer and shown before you pay: whether it can be cancelled at all, until when, and what share is refunded. Some tickets cannot be cancelled.
  • Where cancellation is allowed, cancel from the ticket in My Bookings before the deadline shown on it. You are refunded the share the Organizer set, less any cancellation fee they set.
  • The platform fee and its GST are not refunded when you or the Organizer cancel a registration, because the booking and payment service has been provided. Where the fee was included in an all-inclusive price, that ticket’s share of it is deducted before the refund is calculated, and shown to you before you confirm. Donations are not refunded.
  • There is no refund for not turning up, missing a cut-off, entering the wrong category, or deciding not to take part, unless the Organizer agrees.
  • Refunds go back to the method you paid with (see Payments).

B5. If an event is cancelled, postponed or changed

  • Organizers decide whether an event goes ahead, and may change its date, venue, route, start times or categories, for example for weather, safety or permissions. They must tell participants promptly; we pass on updates they send us, but please also check the event page before travelling.
  • If an Organizer calls off an event and does not reschedule it, the Organizer must refund participants. Where that refund is made through Racemate, you get back everything you paid, including the platform fee and any donation.
  • If an event is postponed or materially changed, the Organizer’s policy applies. Organizers may offer a place on the new date, a transfer, or a refund.
  • Racemate is not responsible for travel, accommodation or other costs you incur because of a change or cancellation.

B6. Transfers, category changes and deferrals

Registrations are personal. You may not give, sell or transfer your place, bib or ticket to anyone else, or move to another category or a later edition, unless the Organizer allows it and on their conditions. Running with someone else’s bib can lead to disqualification and is a safety risk, because the medical and emergency details on a bib are the registered runner’s.

B7. Delivery of tickets and race kits

  • Tickets are delivered electronically, straight after payment, to My Bookings and by email.
  • Bibs and race kits are collected at the place and times the Organizer announces, usually a race expo. Bring your ticket and photo ID. Collecting on someone else’s behalf is allowed only on the Organizer’s rules, such as a signed authorization. Kits not collected in time may be forfeited.
  • Where an Organizer offers home delivery of race kits, the delivery fee is shown at checkout and the Organizer ships the kit to the address you gave, by their stated deadline before the event. Please give a complete and correct address. Report a missing or damaged kit to the Organizer; if it is not resolved, write to us.

B8. Health, safety and conduct

  • Endurance events carry real risks, including from heat, terrain, traffic and over-exertion. You are responsible for being medically fit and adequately trained for your category; consult a doctor if in doubt. You take part at your own risk.
  • At registration you accept the event’s waiver, written by Racemate or by the Organizer. It forms part of your agreement with the Organizer and protects the Organizer, Racemate and others named in it.
  • Follow the instructions of the race director, marshals, medical staff, volunteers and police, including an instruction to stop. Leave the course when its cut-off time passes. Wear your own bib, visibly.
  • Cheating, abuse, harassment, or behaviour that endangers others can lead to disqualification, removal from the event and closure of your Racemate account. The Organizer’s decisions on results are final, subject to their own appeal process.

Part C: Terms for organizers

C1. Becoming an organizer

  • To list events you must first complete payout onboarding: your business type, legal name, PAN, GSTIN where the law requires one or we ask for it, registered address, identity details of an authorized signatory, and a bank account for payouts. We and our payment partners verify these, and may ask for more documents at any time.
  • You can list events and sell registrations once your payout account is activated. From then on your legal name, PAN and GSTIN are locked; to change them, write to help@racemate.in with supporting documents.
  • You confirm that you are authorized to bind the business you register, and that its details stay true and current. Members you add to your team act for your business, and you are responsible for everything they do; some actions, such as issuing refunds, are reserved for the account owner.
  • With Get help on your Team page you can give Racemate’s support team Event Manager access to your account, for 24 hours or until you remove it. Support can then create, set up and publish events for you, but cannot change your payout details, add people or issue refunds. What support does with that access is done on your behalf, so please check your events, and remove the access when you no longer need it.

C2. Listing an event

Your listing must be complete, accurate and kept up to date until the event is over, including:

  • the event’s name, date, start times, venue and route;
  • its categories and distances, with eligibility rules such as minimum age, cut-off times and capacity;
  • ticket prices, stating clearly whether GST and the platform fee are included;
  • the cancellation and refund rules for each ticket type;
  • what participants receive (such as kit, medal, timing, refreshments), how kits are collected or delivered, and any prizes; and
  • your event terms and the waiver participants must accept.

You may use Racemate’s standard waiver or write your own; if you write your own, you are responsible for its content and its legal effect. You must not make false or exaggerated claims about the event, its prizes or facilities, or invent scarcity. We may review, correct the formatting of, hide or delist a listing that is incomplete, misleading, unsafe or unlawful. Where an event appears on Racemate, and whether it is featured, is our decision or a matter of separate agreement.

C3. Fees and taxes

  • For each paid ticket sold through Racemate, we charge the platform fee shown on our Pricing page when the event’s pricing is set, or as agreed with you in writing for that event, plus GST on the fee. It covers our service and the payment gateway’s charges. There are no setup, listing or monthly fees, and free tickets are free.
  • For each event you choose whether buyers pay the fee on top of the price or you pay it inside an all-inclusive price, and whether your price includes GST. These choices cannot be changed once the event has paid registrations.
  • You are the supplier of the registrations you sell. You are responsible for GST on them and for issuing tax invoices in your name; we generate them through Racemate from the details you give us. We issue tax invoices for our platform fee.
  • As an e-commerce operator, Racemate deducts tax collected at source under section 52 of the CGST Act, 2017 and tax deducted at source under the Income-tax law from what we pay you, at the rates in force (currently 0.5% and 0.1% of the taxable value), and deposits them in your name, so you can claim them.
  • Other services we offer, such as race timing, results or promotion, are priced separately by quotation or agreement.

C4. Payouts

  • Buyers pay through our payment partners. Your share of each order (the ticket amount, less the platform fee if you pay it, and less TCS and TDS) is set aside for you when the payment is captured.
  • We release payouts after the event date plus a short audit window. We may release some earlier, at our discretion.
  • We may hold, delay or recover payouts where there are cancellations or refunds to fund, chargebacks or complaints, a suspicion of fraud, incomplete or inconsistent KYC, an event that has not taken place, or an instruction from a payment partner, court or authority.
  • We may set off anything you owe Racemate (such as refunds we funded on your behalf, chargebacks, or fees on an event that was called off) against any of your payouts, held or future, or ask you to pay it to us directly.
  • Banks’ and payment partners’ processing times apply once a payout is released. You are responsible for the bank details you give us.

C5. Refunds, cancellations and chargebacks

  • You set the cancellation rules for each ticket type and must honour them. You can also cancel and refund registrations from your dashboard. Refunds are funded from your share of the order. The platform fee is not refunded on an ordinary cancellation, whoever paid it.
  • If you call off an event, you must tell participants promptly and refund them. When the full amount is refunded through Racemate, the buyer gets everything back, including the platform fee, and you fund all of it: your payouts for those orders and the whole platform fee, whoever paid it. We release such refunds once the amount you owe is covered from your held payouts or paid to us.
  • If you postpone or materially change an event, you must offer participants what your policy and the law require, such as a place on the new date, a transfer or a refund.
  • You handle participants’ refund questions about your event. For chargebacks and payment disputes, you must give us evidence (such as proof of registration, communications and attendance) within the time we ask; amounts lost on disputes about your event are charged to you.

C6. Running the event

You are solely responsible for organizing and delivering the event as listed, including:

  • all permissions and licences, such as from police, traffic, municipal and venue authorities;
  • a safe course, crowd management, water and aid stations, and cut-off and course-closure arrangements;
  • qualified medical cover, ambulances and an emergency plan, and any insurance you need;
  • distributing or delivering race kits, bibs, medals and prizes as advertised;
  • accurate timing and results, unless Racemate provides timing under a separate agreement;
  • checking eligibility, including consent for participants under 18; and
  • complying with all laws that apply to the event, including tax, consumer, sports and safety rules.

C7. Participants’ personal data

You receive participants’ personal data, which may include contact, health, emergency-contact and ID details. For your use of it you are a data fiduciary under the Digital Personal Data Protection Act, 2023. You must:

  • ask only for what the event genuinely needs, and use it only to run the event and as participants have agreed;
  • never sell it, or share it except with those who help you run the event, under similar obligations;
  • send marketing only to participants who have agreed to receive it;
  • keep it secure, limit access to your team members who need it, and delete it when no longer needed; and
  • tell us at once about any breach involving data you obtained through Racemate.

C8. Fair dealing

Part A’s rules on using Racemate fairly apply to you. In addition, you must not direct participants who found your event on Racemate to pay outside Racemate in order to avoid fees, list an event you are not authorized to run, use participants’ data to compete with Racemate, or manipulate reviews, results or registration numbers.

C9. Promoting your event

You allow Racemate to use your name, logo, event details, banners and event photos to promote the event and Racemate, on Racemate, in emails and on social media and search engines. You can ask us to stop future use at any time; material already published may remain. Paid promotion is by separate agreement.

C10. Your responsibility for the event

You agree to compensate Racemate, its directors, employees and service providers for any claim, loss, penalty, refund, chargeback or reasonable legal cost arising from your event (its organization, promotion, conduct, change or cancellation), from anything done by you, your team, volunteers or contractors, or from your breach of these terms or the law. This continues after your account is closed. If your account is closed, we pay out what is due to you only after refunds, chargebacks and anything else you owe are settled.
